1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by eStore Factory LLC ("eStore Factory", "we", "us", or "our"), a company registered in the United States (New Mexico), including our managed Amazon account services and our SaaS products including SellerQI (members.sellerqi.com), Refunzo, and any other software tools we develop and offer (collectively, the "Services"). 

By accessing our website, registering for any of our SaaS products, or engaging eStore Factory for managed services, you ("you", "Client", or "User") agree to be bound by these Terms. If you do not agree, do not use our Services.

These Terms apply to all users of our Services. For managed services clients, these Terms operate alongside any separate Scope of Work or Service Agreement executed between you and eStore Factory. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement takes precedence.

 

2. Description of Services
2.1 Managed Amazon Account Services

eStore Factory offers full-service Amazon account management for sellers, including but not limited to listing optimization, PPC campaign management, account health monitoring, and marketplace strategy. These services are delivered by our team and are subject to a separate Scope of Work agreed between you and eStore Factory prior to engagement.

Managed services are provided on a best-efforts basis. Results — including but not limited to sales growth, ranking improvements, advertising performance, and account health — depend on a wide range of factors including Amazon's algorithms, marketplace conditions, product quality, and your business decisions. eStore Factory makes no guarantee of specific outcomes.

2.2 SaaS Products

SellerQI, Refunzo, and any other SaaS tools offered by eStore Factory are software products that connect to your Amazon Seller account via Amazon's Selling Partner API (SP-API) to provide analytics, insights, and automation features. Access to these products is governed by the subscription plan you select at registration.

SaaS products are provided on an "as-is" and "as-available" basis. We work continuously to maintain uptime and improve functionality, but we do not guarantee uninterrupted access or error-free operation at all times.

 

3. Accounts and Registration

To access our SaaS products, you must register for an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activity that occurs under your account

  • Notifying us immediately at info@estorefactory.com if you suspect unauthorized access to your account

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your business. eStore Factory reserves the right to refuse registration or terminate accounts at its discretion.

 

4. Free Trial

Certain SaaS products, including SellerQI, may be offered with a 7-day free trial for new users. The following conditions apply to free trials:

  • The free trial is available to new accounts only. One free trial per person or business entity.

  • No payment is required during the trial period. If you choose not to continue, simply do not subscribe before the trial expires.

  • At the end of the 7-day trial, continued access requires selecting a paid subscription plan.

  • eStore Factory reserves the right to modify or discontinue free trial offers at any time without prior notice.

  • Free trial access is subject to all other terms and conditions in this agreement.

 

5. Payments, Billing, and Cancellation
5.1 SaaS Subscriptions

Paid SaaS subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). By subscribing, you authorize eStore Factory to charge your payment method on the applicable billing cycle.

  • All fees are stated in US Dollars and are exclusive of applicable taxes unless stated otherwise

  • Subscription fees are non-refundable except as required by applicable law or as otherwise stated at the point of purchase

  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to the product until that date.

  • We reserve the right to change subscription pricing with at least 30 days' notice. Continued use after the effective date of a price change constitutes acceptance of the new pricing.

5.2 Managed Services

Fees for managed services are set out in the applicable Scope of Work or Service Agreement. Unless otherwise stated in that agreement, fees are due as specified therein. Late payments may result in suspension of services.

5.3 Suspension for Non-Payment

If any payment due under these Terms or a Service Agreement is not received within 14 days of the due date, eStore Factory reserves the right to suspend access to the relevant Services until the outstanding balance is settled. Continued non-payment beyond 30 days may result in permanent termination of the account or engagement, without liability to eStore Factory.

 

6. Acceptable Use

By using our Services, you agree that you will not:

  • Use the Services in violation of Amazon's Seller Policies, Terms of Service, or Acceptable Use Policy

  • Use our SaaS tools to manipulate Amazon reviews, engage in review gating, or violate Amazon's Community Guidelines

  • Attempt to reverse-engineer, decompile, or extract source code from any of our software products

  • Use our Services to conduct any unlawful activity or to harm other Amazon sellers

  • Share account credentials with unauthorized third parties

  • Attempt to gain unauthorized access to our systems, infrastructure, or other users' data

  • Use automated scripts or bots to access our SaaS platforms in a manner that exceeds normal usage or disrupts service for other users 

eStore Factory reserves the right to suspend or terminate your access to the Services immediately and without notice if we reasonably determine that you have violated these acceptable use standards.

 

7. Amazon Account Access and Authorization

For SaaS products, you grant eStore Factory permission to access your Amazon Seller account via SP-API solely to provide the features of the product you have subscribed to. For managed services, you grant eStore Factory access via Amazon's Solution Provider Portal (SPP) solely to perform the account management activities agreed in your Scope of Work.

You represent and warrant that you are the authorized owner or administrator of the Amazon Seller account(s) you connect to our Services, and that you have the right to grant such access.

You may revoke our access at any time via your Seller Central account settings. Revoking access will limit or terminate our ability to provide the relevant Services, but does not automatically cancel your subscription or service engagement.

 

8. Intellectual Property

All software, designs, content, trademarks, and technology underlying our Services — including SellerQI, Refunzo, and any future products — are the exclusive property of eStore Factory LLC. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of all data, content, and materials you provide to eStore Factory in connection with the Services. By using our Services, you grant eStore Factory a limited, non-exclusive license to use your data solely to deliver the Services to you.

 

9. Disclaimer of Warranties and Limitation of Liability
9.1 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ESTORE FACTORY PROVIDES ALL SERVICES — INCLUDING MANAGED SERVICES AND SAAS PRODUCTS — ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will meet your specific business objectives, that results will be achieved within any particular timeframe, or that the Services will be uninterrupted, error-free, or free from data loss. Amazon's platform, algorithms, and policies are outside our control and may change at any time without notice.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ESTORE FACTORY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

  • LOSS OF REVENUE, PROFITS, OR ANTICIPATED BUSINESS

  • LOSS OF DATA OR DAMAGE TO SYSTEMS

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • DAMAGES ARISING FROM AMAZON ACCOUNT SUSPENSION, POLICY ENFORCEMENT, OR MARKETPLACE CHANGES

  • DAMAGES ARISING FROM DECISIONS MADE BY YOU OR YOUR TEAM BASED ON INSIGHTS OR RECOMMENDATIONS PROVIDED THROUGH OUR SERVICES

  • ANY OTHER LOSS OR DAMAGE OF ANY NATURE, WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE

THIS LIMITATION APPLIES REGARDLESS OF WHETHER ESTORE FACTORY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE FAILURE OF ANY ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

In all cases, eStore Factory's total cumulative liability to you for any claims arising under or related to these Terms or the Services shall not exceed the total fees paid by you to eStore Factory in the three (3) months immediately preceding the event giving rise to the claim.

9.3 No Guarantee of Results

eStore Factory applies professional expertise and best practices in delivering all managed services and SaaS products. However, business outcomes on Amazon are influenced by factors entirely outside our control, including but not limited to Amazon's search algorithm, competitor activity, market conditions, product quality, pricing, fulfilment performance, and Amazon policy changes. eStore Factory makes no guarantee of any specific business result, sales target, ranking position, or account performance metric.

10. Indemnification

You agree to indemnify, defend, and hold harmless eStore Factory LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services in violation of these Terms

  • Your violation of Amazon's policies, terms, or guidelines

  • Your misrepresentation of your authority to grant access to an Amazon Seller account

  • Any third-party claims arising from your business operations or Amazon account activity

 

11. Termination

Either party may terminate access to the Services at any time:

  • You may cancel your SaaS subscription at any time through your account settings. Access continues until the end of the current billing period.

  • You may terminate a managed services engagement in accordance with the notice period specified in your Scope of Work or Service Agreement.

  • eStore Factory may suspend or terminate your access immediately if you breach these Terms, violate Amazon's policies in a way that puts our developer account at risk, or fail to make payment as required.

Upon termination, your right to access the Services ceases. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, limitation of liability, indemnification, and governing law — shall survive.

 

12. Modifications to These Terms

eStore Factory reserves the right to update these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we will notify registered users by email at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any change constitutes your acceptance of the revised Terms.

 

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in New Mexico. The arbitrator's decision shall be final and binding on both parties. 

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

 

14. General Provisions
  • Entire Agreement: These Terms, together with any applicable Scope of Work or Service Agreement, constitute the entire agreement between you and eStore Factory regarding the Services.

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

  • Waiver: eStore Factory's failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. eStore Factory may assign these Terms in connection with a merger, acquisition, or sale of assets.

  • Force Majeure: eStore Factory is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including Amazon platform outages, changes to Amazon's API or policies, internet disruptions, or regulatory changes.
